AGREEMENT TO OUR LEGAL TERMS

We are Northstar Academy South Bay LLC, doing business as Northstar Academy South Bay, an Apogee Strong Center ("Company," "we," "us," "our"), a company registered in California, United States at 1722 Pelican Ave, San Pedro, CA 90732.

We operate the website http://www.northstaracademysouthbay.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Northstar Academy South Bay LLC, concerning your access to and use of the Services. 1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Your Submissions

We shall own the Submission and be entitled to its unrestricted use for any lawful purpose without acknowledgment or compensation to you.

By sending Submissions, you:

You are solely responsible for your Submissions and agree to reimburse us for any losses arising from your breach of this section, any third party's intellectual property rights, or applicable law.


3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) you have the legal capacity to comply with these Legal Terms; (2) you are not a minor in your jurisdiction; (3) you will not access the Services through automated or non-human means; (4) you will not use the Services for any illegal or unauthorized purpose; and (5) your use will not violate any applicable law or regulation.

If you provide information that is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account and refuse future use of the Services.

  • Decipher, decompile, disassemble, or reverse engineer any software in the Services, except as permitted by law

  • Use a buying or purchasing agent to make purchases on the Services

  • Collect user email addresses for unsolicited communications or create accounts under false pretenses

  • Use the Services to compete with us or for any unauthorized revenue-generating purpose


5. USER GENERATED CONTRIBUTIONS

The Services do not currently offer users the ability to submit or post public content. Should that opportunity arise, any Contributions you make must comply with the following — you represent and warrant that:

  • Your Contributions do not infringe any copyright, patent, trademark, trade secret, or moral rights of any third party

  • You are the creator or have the necessary licenses and permissions to submit the Contributions

  • You have obtained written consent from any identifiable individuals featured in your Contributions

  • Your Contributions are not false, inaccurate, or misleading

  • Your Contributions are not unsolicited advertising, spam, pyramid schemes, or mass mailings

  • Your Contributions are not obscene, violent, harassing, libelous, or otherwise objectionable

  • Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone

  • Your Contributions do not threaten or promote violence against any person or group

  • Your Contributions do not violate any applicable law or regulation

  • Your Contributions do not violate the privacy or publicity rights of any third party

  • Your Contributions do not involve child pornography or content harmful to minors

  • Your Contributions do not include offensive comments related to race, national origin, gender, sexual preference, or physical handicap

  • Your Contributions do not otherwise violate these Legal Terms or any applicable law

Violation of the foregoing may result in termination or suspension of your right to use the Services.


6. CONTRIBUTION LICENSE

You and the Services agree that we may access, store, process, and use any information and personal data you provide in accordance with the Privacy Policy and your choices.

By submitting suggestions or other feedback, you agree that we may use and share such feedback for any purpose without compensation to you.

We do not assert ownership over your Contributions. You retain full ownership of all Contributions and any associated intellectual property rights. We are not liable for any statements or representations in your Contributions. You are solely responsible for your Contributions and agree to exonerate us from any related responsibility or legal action.


7. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates the law or these Legal Terms; (3) in our sole discretion, restrict or disable any of your Contributions; (4) remove files or content that are excessive in size or burdensome to our systems; and (5) otherwise manage the Services to protect our rights and facilitate proper functioning.


8. PRIVACY POLICY

The Services are hosted in the United States. If you access the Services from another region with different data protection laws, your continued use constitutes consent to have your data transferred to and processed in the United States.


9. TERM AND TERMINATION

These Legal Terms remain in full force and effect while you use the Services. WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO THE SERVICES TO ANY PERSON FOR ANY REASON, INCLUDING BREACH OF THESE LEGAL TERMS OR ANY APPLICABLE LAW. WE MAY TERMINATE YOUR USE OR DELETE ANY CONTENT OR INFORMATION YOU POSTED AT ANY TIME, WITHOUT WARNING.

If your account is terminated or suspended, you are prohibited from registering a new account under any name. We also reserve the right to take appropriate legal action, including civil, criminal, and injunctive redress.


10. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We have no obligation to update any information on our Services and will not be liable for any modification, suspension, or discontinuance.

We cannot guarantee the Services will be available at all times. We may experience interruptions, delays, or errors due to hardware, software, or maintenance needs. We have no liability for any loss or inconvenience caused by your inability to access the Services during downtime.


11. GOVERNING LAW

These Legal Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.


12. DISPUTE RESOLUTION

Informal Negotiations

Before initiating arbitration, the parties agree to first attempt to resolve any Dispute informally for at least thirty (30) days via written notice.

Binding Arbitration

If informal negotiations fail, Disputes will be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA). YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. Arbitration fees will be governed by AAA Consumer Rules. The arbitration will take place in California, United States.

If a Dispute proceeds in court rather than arbitration, it shall be brought in the state or federal courts in California, and the parties consent to personal jurisdiction therein. The UN Convention on Contracts for the International Sale of Goods and UCITA are excluded.

No Dispute may be commenced more than one (1) year after the cause of action arose.

Restrictions

All arbitration shall be limited to the individual Dispute between the parties. No class-action arbitration or representative proceedings are permitted.

Exceptions to Arbitration

The following Disputes are not subject to arbitration: (a) disputes to enforce or protect intellectual property rights; (b) disputes arising from theft, piracy, invasion of privacy, or unauthorized use; and (c) claims for injunctive relief.


13. CORRECTIONS

We reserve the right to correct any errors, inaccuracies, or omissions on the Services and to update information at any time without prior notice.


14. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE ASSUME NO LIABILITY FOR ANY ERRORS, PERSONAL INJURY, UNAUTHORIZED ACCESS, INTERRUPTIONS, BUGS, OR DAMAGES OF ANY KIND ARISING FROM YOUR USE OF THE SERVICES. WE DO NOT WARRANT OR ASSUME RESPONSIBILITY FOR ANY THIRD-PARTY PRODUCTS OR SERVICES ADVERTISED OR OFFERED THROUGH THE SERVICES.


15. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR LIABILITY TO YOU WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU TO US DURING THE THREE (3) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.


16. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless — including our subsidiaries, affiliates, officers, agents, partners, and employees — from any loss, damage, liability, claim, or demand (including reasonable attorneys' fees) arising from: (1) your use of the Services; (2) breach of these Legal Terms; (3) breach of your representations and warranties; (4) your violation of any third party's rights; or (5) any harmful act toward another user. We reserve the right to assume exclusive defense of any matter subject to indemnification at your expense.


17. USER DATA

We maintain certain data you transmit to the Services for performance management purposes. You are solely responsible for all data you transmit or that relates to your activity on the Services. We shall have no liability for any loss or corruption of such data, and you waive any right of action against us for such loss or corruption.


18. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, and disclosures provided electronically satisfy any legal writing requirement. YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, AND RECORDS, AND WAIVE ANY REQUIREMENTS FOR ORIGINAL SIGNATURES OR NON-ELECTRONIC RECORDS.


19. SMS TEXT MESSAGING

Program Description By opting into any Apogee CRM text messaging program, you expressly consent to receive SMS messages to your mobile number, which may include account alerts, appointment reminders, marketing communications, and responses to inquiries.

Opting Out Reply STOP to any message to unsubscribe. You may receive a confirmation message. To re-enroll, sign up again as you did initially.

Message and Data Rates Standard message and data rates may apply. Rates are determined by your carrier and mobile plan. Carriers are not liable for delayed or undelivered messages. Contact your wireless provider with questions about your plan.

21. MISCELLANEOUS

These Legal Terms and any policies posted by us on the Services constitute the entire agreement between you and us. Our failure to enforce any right or provision shall not constitute a waiver. These Legal Terms operate to the fullest extent permissible by law. We may assign our rights and obligations at any time. We are not responsible for delays or failures caused by circumstances beyond our reasonable control. If any provision is found unlawful or unenforceable, the remaining provisions remain in full effect. No joint venture, partnership, employment, or agency relationship is created by these Legal Terms. You waive any defenses based on the electronic form of these Legal Terms.
